Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and MentorReach LLC, a Virginia limited liability company doing business as MentorReach ("MentorReach", "we", "us"). They govern your use of mentorreach.com and any related services (the "Platform").

By creating an account, booking a session, mentoring on the Platform, or otherwise using it, you agree to these Terms. If you do not agree, do not use the Platform.

1. What MentorReach is, and is not

MentorReach is a marketplace. We connect students seeking career guidance with independent professionals ("Mentors") who offer paid one-on-one sessions.

We are a venue and a payment facilitator. We are not a party to the session itself. Mentors are independent contractors, not our employees, agents, or representatives. We do not control, supervise, or direct the content of any session.

We do not provide career counseling, legal advice, financial advice, medical advice, employment placement, admissions services, or recruiting services. Guidance shared by a Mentor is that Mentor's personal opinion and experience.

2. Eligibility and age

You must be at least 18 years old to create an account on the Platform. This applies to students, parents, and Mentors alike. We do not knowingly permit anyone under 18 to register, and we will close any account we learn was created by a minor.

Booking on behalf of a minor

A parent or legal guardian may book sessions for a student under 18 who will attend the session. If you do this, you agree that:

• You are the account holder, you accept these Terms, and you are responsible for all activity on the account, including payment.
• You are the parent or legal guardian of the student attending, and you consent to that student participating in a private, one-on-one video session with an adult Mentor who is not employed or supervised by us.
• You will identify the participating student as a minor when booking, so that the Mentor knows before the session.
• You are responsible for supervising your student's participation, and you may attend or monitor any session.

We are not a childcare, tutoring, or supervisory service, and we do not supervise sessions. Mentors are independent contractors. We do not conduct background checks on Mentors. See Section 7.

Mentors must be at least 18 years old and must comply with the Mentor Handbook, including its rules on conduct during sessions with a minor participant.

We may refuse service, close accounts, or remove listings at our discretion.

3. Accounts

You agree to provide accurate information, keep it current, and keep your login credentials secure. You are responsible for everything that happens under your account. Notify us promptly at support@mentorreach.com if you believe your account has been compromised.

You choose an account type (student or mentor) at signup. One person, one account.

4. Sessions and booking

Mentors set their own rates, session lengths, and availability. Prices displayed on a Mentor's profile are the prices charged.

When you book, you select an available time and pay in full at checkout. Your booking is confirmed once payment succeeds. Sessions are conducted by video through a third-party provider.

Mentors control what they discuss and how. We do not review, approve, or endorse the substance of any session.

5. Payment

All payments run through our third-party payment processor. By paying, you also agree to that processor's terms. We do not store your full payment card details.

MentorReach retains a commission on each session. The remainder is paid to the Mentor.

All bookings and payments must occur on the Platform. You may not arrange or accept payment for a MentorReach-originated session outside the Platform. See Section 8.

6. Cancellations and refunds

Cancellations and refunds are governed by our Refund Policy, which is incorporated into these Terms.

In summary: a student may cancel or reschedule free of charge up to 24 hours before the session's scheduled start. Cancellations inside 24 hours, and no-shows, are not refundable.

If a Mentor cancels or fails to attend, the student receives a full refund.

7. No guarantees

We do not guarantee any outcome. Using the Platform will not guarantee you a job, an internship, an interview, an offer, an admission, a promotion, or any other result. No Mentor may promise one.

We do not guarantee that any particular Mentor will be available, that a Mentor's information is accurate, or that guidance received will be suitable for your circumstances. You are solely responsible for decisions you make based on a session.

We select Mentors by invitation and personally review them before they join. That review is not a background check, a credential verification, an employment verification, or an endorsement of their advice.

8. Prohibited conduct

You may not:

• Arrange, solicit, or accept payment for sessions outside the Platform, or ask another user to do so
• Misrepresent your identity, employer, role, credentials, or experience
• Harass, threaten, discriminate against, or abuse another user
• Make romantic or sexual advances toward another user, or send sexual content
• Use the Platform to recruit users to other services or to sell unrelated products
• Record a session without the other party's advance consent
• Share, post, or repeat confidential information disclosed in a session
• Scrape, crawl, reverse engineer, or attempt to gain unauthorized access to the Platform
• Use the Platform for anything unlawful, or in violation of your own employer's policies
• Create an account after we have removed you

Violations may result in immediate suspension or removal without refund.

9. Mentor-specific terms

Mentors are independent contractors. Nothing here creates an employment, partnership, joint venture, or agency relationship. Mentors control their own schedule, rates, and methods.

Mentors are solely responsible for their own taxes on amounts earned. We do not withhold taxes. Tax documentation is issued by our payment processor where required.

Mentors are responsible for confirming that mentoring on the Platform does not conflict with their employer's policies or any agreement they are subject to. Mentors represent that they are permitted to participate.

Mentors additionally agree to the Mentor Handbook and the Mentor Agreement, both incorporated into these Terms.

10. Content and intellectual property

You retain ownership of content you submit (profile text, photos, notes, messages). You grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content for the purpose of operating and promoting the Platform.

You represent that you have the right to submit what you submit, including any photograph of yourself.

The Platform itself, including its name, logo, design, and software, is our property. Do not use our branding without written permission.

11. Third-party services

The Platform depends on third-party services for authentication, payments, video meetings, email, and hosting. Their availability is outside our control, and their terms apply to your use of them. We are not responsible for their acts, omissions, or outages.

12. Suspension and termination

You may stop using the Platform at any time and may request account deletion at support@mentorreach.com.

We may suspend or terminate any account at any time, with or without notice, for violation of these Terms or for conduct we reasonably believe creates risk to other users or to us. Sessions already paid for and not yet held will be refunded unless the termination results from that user's own violation.

Sections 7, 10, 13, 14, 15, and 16 survive termination.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY CONTENT OR GUIDANCE PROVIDED THROUGH IT IS ACCURATE, COMPLETE, OR USEFUL.

WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, ONLINE OR OFFLINE. YOU INTERACT WITH OTHER USERS AT YOUR OWN RISK.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTORREACH AND ITS OWNERS, MEMBERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, OR LOST DATA, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless MentorReach and its owners, members, and affiliates from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the Platform, your content, your conduct toward another user, or your violation of these Terms or of any law.

16. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Platform will be resolved exclusively in the state or federal courts located in Loudoun County, Virginia, and you consent to the personal jurisdiction of those courts.

17. Changes

We may update these Terms. Material changes will be posted here with a revised "Last updated" date and, where appropriate, communicated by email. Continuing to use the Platform after a change means you accept it.

18. Miscellaneous

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms, plus the documents incorporated into them, are the entire agreement between us. You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets.
